1. About these terms
1.1 These Subscription and Billing Terms form part of the Terms of Service between you and SALESSHURU SOFTWARE SOLUTIONS (OPC) PRIVATE LIMITED ("SalesShuru", "we", "us"). Capitalised terms not defined here have the meanings in the Terms of Service.
1.2 They explain how plans, free and Founding Access, payments, recurring billing (auto-renewal), taxes, price changes and failed payments work. Refunds and cancellations are covered in the Refund and Cancellation Policy, and how access is delivered is covered in the Service Access and Delivery Policy.
1.3 Additional definitions:
- "Billing Cycle" means the recurring period for which recurring Fees are charged in advance. Paid Plans are billed monthly.
- "Project" means a separate product or initiative set up in your GrowthOS workspace, with its own ideas, PRDs, backlog and plans.
- "Recurring Fees" means the monthly subscription fee (which includes the first user) and the monthly fee for each additional user on your Paid Plan.
- "Setup Fee" means the one-time fee charged for each Project on a Paid Plan.
- "E-Mandate" means a standing instruction you register with your card issuer, bank or UPI app, through the Payment Processor, authorising recurring debits for your Paid Plan.
- "Renewal Date" means the date on which a new Billing Cycle begins and Fees for it are charged.
- "Subscription Term" means the period for which you have paid for a Paid Plan, including each renewal.
2. Free access: Founding List and Founding Access
2.1 Founding List. The Founding List is limited to the first 1,000 users accepted, and is available only to users in India. Joining is free and does not require a card or any payment details.
2.2 Founding Access. From 1 November 2026 (planned), we will invite Founding List members, typically in batches, to use GrowthOS free of charge. Founding Access lasts until paid launch, which is planned for April 2027. We will not ask for a card or payment details for Founding Access.
2.3 End of Founding Access. Founding Access ends at paid launch. We will email you at least 30 days in advance with the date and the Paid Plans and prices available to you. You will never be moved onto a Paid Plan or charged automatically. No charge happens unless you actively choose a Paid Plan, complete checkout and set up payment. If you do not, your Account becomes read-only, with export available, until you choose a Paid Plan. Your data is kept as described in the retention section of the Privacy Policy.
2.4 Founding member benefits. We may offer Founding List members a benefit at paid launch, such as a discount. Any benefit will be described at checkout and in your confirmation email, including how long it lasts.
2.5 Free trials. If we offer a free trial that converts into a Paid Plan, we will clearly state the trial length and the price before you start, remind you before the trial ends, and let you cancel before any charge.
3. Paid Plans and prices
3.1 Pricing structure. Paid Plans have three parts: a one-time Setup Fee per Project, a monthly subscription fee that includes the first user, and a monthly fee for each additional user.
| Fee | How it is charged |
|---|---|
| Setup Fee | Once per Project, when each new Project is created on a Paid Plan (for your first Project, at checkout). Each Setup Fee is a separate one-time payment and is not part of the recurring E-Mandate. |
| Monthly subscription fee | Every month, in advance, under your E-Mandate. It includes the first user. |
| Additional-user fee | Every month, in advance, for each additional user on your workspace, under your E-Mandate. |
3.2 Amounts. We do not list amounts in these terms. Current amounts, plan features and limits are shown on our pricing page at https://www.salesshuru.com/#pricing and at checkout before you pay.
3.3 Currency. All prices are in Indian Rupees (INR). Paid Plans are currently available only to Customers in India: we accept Indian-issued cards and Indian UPI accounts only, and international cards are not accepted.
3.4 What you see is what you pay. The total amount payable will be shown at checkout before you confirm payment. We do not currently charge GST (see Section 6). We do not add hidden charges.
4. Payment
4.1 Payment Processor. All payments are processed by Razorpay, our third-party payment gateway. The payment methods available at checkout are credit and debit cards and UPI AutoPay, both through Razorpay. Other methods (such as net banking or wallets) are not currently accepted.
4.2 We do not store your payment credentials. Card numbers, CVV and UPI PIN are entered directly on Razorpay's secure checkout and are processed by Razorpay and the relevant card network, bank or UPI provider under their own security standards (including PCI-DSS) and RBI rules. Where card tokenisation applies, card tokens are created and held under RBI's tokenisation framework by the card network or issuer, not by us. We receive only limited information such as a transaction ID, payment status and the last digits or type of payment instrument. See the Privacy Policy.
4.3 Payment in advance. A Setup Fee is charged once for each Project, when that Project is created on a Paid Plan (for your first Project, at checkout). Recurring Fees are charged in advance at the start of each Billing Cycle.
4.4 Receipts. After each successful payment, we will email you a payment receipt showing our legal name, CIN, the plan, what the payment covers (a Setup Fee and the Project it relates to, or Recurring Fees and the number of users), the amount paid and the transaction reference. Payments appear on your bank or card statement as "SALESSHURU". As we are not GST-registered (see Section 6), we do not issue GST tax invoices.
5. Recurring payments (auto-renewal) and e-mandates
5.1 Auto-renewal is disclosed. The E-Mandate covers Recurring Fees only. Each Setup Fee is charged once per Project, as a separate payment, and is not collected under the E-Mandate. Paid Plans renew automatically at the end of each Billing Cycle until cancelled. At checkout we will clearly show that the plan renews automatically, the renewal amount, the Billing Cycle and how to cancel, and you must actively agree before an E-Mandate is set up.
5.2 RBI e-mandate framework. Recurring payments by card or UPI AutoPay are processed through an E-Mandate registered via Razorpay in accordance with the Reserve Bank of India's directions on recurring transactions (currently the Digital Payments – E-mandate Framework, 2026, dated 21 April 2026). In summary:
| Step | What happens |
|---|---|
| Registration | You register the E-Mandate once, with your bank/card issuer/UPI app validating it through an Additional Factor of Authentication (AFA) (for example, OTP or UPI PIN). Registration is free of charge to you. The mandate states its validity period and the amount (fixed, or a maximum amount for variable charges). |
| First charge | The first transaction requires AFA (this can be combined with registration). |
| Pre-debit notification | Before each recurring debit, your issuer/bank sends you a pre-debit notification at least 24 hours before the charge, stating the merchant name, amount, date/time of debit, mandate reference and reason. You can choose how to receive it (e.g., SMS or email) through your issuer. |
| Opt-out of a debit | Using the link or option in the pre-debit notification, you can opt out of that particular debit or cancel the E-Mandate, validated by AFA. |
| AFA thresholds | Recurring debits up to ₹15,000 per transaction can be processed without AFA. Any recurring debit above ₹15,000 requires AFA each time, so you will need to approve it with your bank or UPI app or the payment will fail. |
| Post-debit alert | Your issuer sends a post-transaction alert after each debit. |
5.3 Our own reminders. In addition to your bank's pre-debit notification, we will email you before any renewal at a changed price (see Section 7). If we introduce annual billing, we will also email you before each annual renewal.
5.4 How to cancel an E-Mandate. You can stop future recurring payments at any time by any of these methods:
- In GrowthOS: Settings → Billing → Cancel subscription. This cancels the subscription and we will request Razorpay to cancel the associated E-Mandate.
- Through your bank, card issuer or UPI app: revoke or pause the mandate (for UPI AutoPay, under the "Autopay"/"Mandates" section of your UPI app; for cards, via your issuer's e-mandate management facility or the link in the pre-debit notification).
- By email: write to admin@salesshuru.com from your Account email and we will cancel within 48 hours.
Cancelling the E-Mandate stops future charges. Your access continues until the end of the Billing Cycle already paid for, as described in the Refund and Cancellation Policy. If you revoke a mandate with your bank but do not cancel in GrowthOS, the next renewal will fail and Section 8 applies.
5.5 Changes to the mandate amount. If a renewal amount would exceed the maximum amount of your existing E-Mandate (for example, after a plan upgrade, adding users or a price change), we will ask you to authorise a new or modified mandate. We will not charge more than the amount you have authorised.
6. Taxes (GST)
6.1 Not currently GST-registered. SalesShuru is not currently registered under the Central Goods and Services Tax Act, 2017 or related GST laws. We do not charge or collect GST on Fees, and we do not issue GST tax invoices. As a result, GST input tax credit is not available to business Customers on our Fees.
6.2 When GST will apply. If we register for GST (whether voluntarily or because our turnover crosses the registration threshold or another registration trigger applies), GST and any other applicable taxes will be added to Fees from the date our registration takes effect. Before that happens we will:
- give you at least 30 days advance notice by email (or, if registration is required with less notice, as much notice as reasonably possible);
- update our pricing page and checkout to show whether prices are inclusive or exclusive of GST; and
- issue GST-compliant tax invoices from that date, including a business Customer's GST registration details where provided, so eligible Customers can claim input tax credit.
6.3 If adding GST increases the amount debited under an E-Mandate, the change will be treated like a price change under Section 7 (including your right to cancel before it applies), and the renewal will remain subject to the RBI pre-debit notification and AFA rules in Section 5.
6.4 You are responsible for any taxes, duties or charges imposed by your bank other than taxes we are required to collect.
7. Price changes
7.1 We may change Paid Plan prices or features. We will give you at least 30 days advance notice by email before a price increase applies to your subscription. Price changes take effect from your next Renewal Date after the notice period ends and never apply to a Billing Cycle you have already paid for.
7.2 If you do not agree to a price change, you can cancel before it takes effect (see Section 5.4). Continuing after the change takes effect means you accept the new price, subject to authorising any revised E-Mandate required under Section 5.5.
7.3 Any founding-member benefit described at checkout under Section 2.4 will be honoured for its stated duration.
8. Failed payments
8.1 If a renewal payment fails (for example, insufficient funds, expired card, AFA not completed for a debit above ₹15,000, or a revoked mandate), we will notify you by email and in-app and may retry the payment up to 3 times over 7 days, always subject to fresh pre-debit notifications from your bank as required by RBI rules.
8.2 You will have a grace period of 7 days to update your payment method or pay manually, during which your access continues.
8.3 If payment is still not received after the grace period, we may make your Account read-only (with export available) or suspend paid features. We will not delete your Customer Content because of non-payment without at least 30 days' further notice by email, and you may export it during that time.
8.4 We do not charge late-payment fees or interest.
9. Upgrades and downgrades
9.1 Upgrades take effect immediately. We will charge the prorated difference for the rest of the current Billing Cycle, shown to you before you confirm.
9.2 Adding or removing users and Projects. If you add users, the additional-user fee for them is charged as shown to you before you confirm. If you remove users, the lower amount applies from your next Renewal Date. No new Setup Fee is charged for adding users or changing plans; each new Project incurs its own Setup Fee, shown to you before you create the Project.
9.3 Downgrades take effect at the next Renewal Date. Features or limits not included in the lower plan will become unavailable from that date; you should export any content that exceeds the new plan's limits.
10. Disputed charges and chargebacks
If you believe a charge is incorrect, please contact admin@salesshuru.com first; we will investigate and correct genuine errors (including duplicate charges) as described in the Refund and Cancellation Policy. You also retain your rights to raise a dispute with your bank or card issuer under RBI rules.
11. Changes to these terms
We may update these terms in the manner described in Section 18 of the Terms of Service. Changes affecting the amount you pay are subject to Section 7.
